Preheat oven to 350°F. Spray two 8-inch round pans with baking spray.
Blend cake mix, water, eggs, and oil in a large bowl with an electric mixer on low speed until moistened. Beat on medium speed 2 minutes. Divide batter evenly into pans. Bake 24 to 28 minutes, until toothpick inserted in center comes out clean.
Cool cakes on wire rack 15 minutes. Remove from pans and cool completely.
Use black food coloring to dye chocolate frosting black. Place one cooled cake layer on serving plate. Spread about 1/2-cup frosting on first layer and top with second cake layer. Frost cake completely.
Pour marshmallows into a large microwave safe bowl. They will expand while they melt so leave a little room at the top. Microwave 20 seconds. Stir and continue microwaving in 10 second increments until melted, stirring between each.
Wearing latex gloves sprayed with PAM®, grab some of the marshmallow and stretch it to thin ribbons and press them onto the cake to make spider webs. Careful, the marshmallows may be hot! Slice spooky spider web cake and serve!
